The objective of the National Water Supply and Sanitation Project is to provide quality and reliable water supply and sanitation services in selected regional (rayon) centers of Azerbaijan. This restructuring paper proposes the extension of the closing date to December 31, 2014 since: (i) all contracts with the exception of two are underway; (ii) the two remaining contracts, totaling US$78 million, are expected to be signed in the next 2-3 months; (iii) the team is confident that Azersu can complete ongoing works and reach all project targets by the extended closing date; and (iv) institutional development objectives have largely been achieved and will be further consolidated with the proposed extension. The team is convinced that the proposed extension will allow the project to achieve its development objectives once the Borrower can complete all on-going contracts. No changes are proposed with regard to implementation agencies, there are no outstanding audits, and financial management reports are satisfactory. The project's objectives have not changed and are considered to be achievable within the extended closing date period. The performance of the project implementing agency is satisfactory.

The development objective of the Second Rural Investment Project for Azerbaijan is to improve access to and use of community-driven rural infrastructure and expand economic activities for rural households. There are three components to the project. The first component is rural community infrastructure. This component will finance demand-driven micro-projects in rural infrastructure. Micro-projects eligible for finance through project proceeds will increase access to, and quality of local economic and social infrastructure, such as roads, rural water supply, irrigation, schools, clinics and markets. Costs to be supported from the project include identification, design, construction, rehabilitation, and initial operation and maintenance of the micro-projects. The second component is technical assistance for rural infrastructure. The objective of this component is to enhance the capacity of engaged local stakeholders, including community groups, local authorities, regional grant approval committees, project assistance teams and staff in the regional operations offices in micro-project program development and to provide technical assistance for pilot livelihood support initiatives. Stakeholder capabilities in functions of contracting, procurement, financial management, and participatory monitoring and evaluation will be strengthened. The third component is project management and results monitoring. This component will finance the administrative and operational project implementation and management costs, including overheads of Project Management Unit (PMU) professional staff, as well as PMU and four Regional Operations Offices (ROOs) and their associated support staff, project outreach, and support to Regional Grant Approval Committees (RGACs).

The objectives of the Rural Investment Project (AZRIP) in Azerbaijan are to improve living standards through improved access to infrastructure services for households in rural communities completing micro-projects. The project has contributed to an improvement in the living conditions of households in rural communities by: (a) facilitating participatory development planning, thereby enhancing capacity to address needs; and (b) providing and rehabilitating priority rural infrastructure identified by communities. The project has also established institutional capacity to promote community development within the State Agency on Agricultural Credits (SAAC) under the Ministry of Agriculture. The additional financing will expand the project to new areas and scale up activities under all components of the successfully implementing current project. Scaling-up the operations is justified for the following reasons: i) living conditions in rural areas remain poor due to lack of employment opportunities and infrastructure and access to social services; ii) AZRIP is one of the few vehicles available to address rural needs as determined by the communities themselves; iii) demand from rural communities has been consistently strong; and iv) the project benefits from a high level of Government commitment.

The main objective of the Second Agricultural Development and Credit Project for Azerbaijan is to further increase rural productivity and incomes by enhancing the access of farmers and small and medium rural enterprises to rural business and agricultural support services including financial, advisory and veterinary services and by stimulating market-oriented investments in rural areas. The reallocation is necessary to continue funding the project advisory program and the project operational costs during the remainder of the project. In March 2010, the project task team and Project Management Unit (PMU) reviewed the financial status of all project components and reallocation of credit proceeds to ensure sufficient funding for the remaining project activities. In order to complete the project activities, it is necessary to reallocate Special Drawing Rights (SDR) 691,500 from the category consultancy services for other project components to the categories of consultancy services for Information and Advisory Center (IAC) and Regional Advisory Centers (RACs) and incremental operating costs. Rapidly increasing prices during the project period have resulted in increasing costs for most activities of the information and advisory services sub-component of the project. In particular, the costs of the travel and transportation, rental of rooms, utilities, printing and staff were higher than estimated at the time of project appraisal. Price increase has also affected the budget for the project operation costs.

The objective of the Internally Displaced Persons Economic Development Support Project is to help improve in Azerbaijan living conditions of Internally Displaced Persons (IDPs) and enhance their economic opportunities and prospects for social integration. The project includes three components: (a) micro-projects; (b) micro-credits; and (c) implementation support. The micro-project component finance more than 150 small-scale projects for the: (a) repair and rehabilitation or construction and includes of basic infrastructure such as water supply networks, power supply, access roads, and drainage systems; (b) repair, rehabilitation or construction of social infrastructure such as schools and community centers; and (c) repair and rehabilitation of temporary shelter facilities. The Additional Financing would also allow the Social Fund for the Development of Internally Displaced Persons (SFDI) to fund its operating costs during the additional three years needed for the implementation of micro-project activities. The project will contribute to the achievement of a pillar of the Country Partnership Strategy (CPS): increasing the quality of and access to social services. This pillar has a direct focus on improving living conditions and economic opportunities of internally displaced persons.

The Power Transmission Project for Azerbaijan aims to improve the efficiency of the power transmission operation in Azerbaijan through technical and institutional strengthening of the generation/transmission utility. The project has the following four components: Component 1) includes investments to upgrade the electricity dispatch system in the country, which in turn would support the reliable, secure and economic operation of the electricity sector, and facilitate financial settlements in a future wholesale electricity market. Component 2) will cover priority investments in rehabilitation of high voltage transmission lines and selected high-voltage substations. Component 3) will provide technical assistance (TA) to improve the management systems of Azerenerji and prepare the company for a future restructured energy sector. Component 4) will finance Incremental Operating Costs for the Project Implementation Unit (PIU).

The objective of the Capital Markets Modernization Project for Azerbaijan is to increase the use of equity and corporate debt as financing and/or investment instruments through the adoption of an effective capital markets regulatory framework and infrastructure. There are four components to the project. The first component of the project is streamlining and automating market infrastructure. This component will address the outdated capital market infrastructure constraints by focusing on: (i) increasing automation of the market through establishing one depository center and consolidating clearance and settlement; (ii) opening the infrastructure's membership and access; (iii) minimizing off-market trades and improving price discovery; and (iv) facilitating the operational introduction of investment fund. The second component of the project is updating and strengthening the legal and regulatory framework. This component is to maximize the benefits of adopting an adequate legal and regulatory framework, this component will focus on: (i) reviewing the draft capital market legislation, ensuring that the existing gaps are addressed through the forthcoming new Capital Market Act and identifying key implementing regulations needed to make the law effective; (ii) enhancing market confidence and safety by introducing minimum capital requirements for market participants; and (iii) allowing pooled investments by insurance companies. The third component of the project is stimulating supply. This component will promote greater use of capital markets as a financing alternative by focusing on: (i) creating a more appropriate environment to encourage equity listings and the corporate bond market; (ii) actively reaching out to corporations to promote benefits of financial market as a funding alternative and working proactively with prospective issuers to assist them in coming to the market; and (iii) promoting development of reliable benchmarks in the government bond market. The fourth component of the project is capacity building. This component, will aim to: (i) strengthen the State Committee for Securities (SCS') knowledge management, its policy formation processes and transparency of operations; and (ii) strengthen the institutional capacity of the SCS' surveillance, reporting and enforcement systems.

The objective of the Additional Financing for the Judicial Modernization Project is to develop capacity of Azerbaijan's judicial system to achieve incremental improvements in efficiency, citizen information and its ability to handle future demand. This project paper also seeks approval of an extension of the closing date of the original credit by eighteen months until June 30, 2013 and an extension for the additional financing by three years until December 31, 2014 to enable the project to carry out the remaining activities as well as the newly included ones. A decisive factor in the determination of this time-frame is the anticipated duration of the construction activities. A level two restructuring has been approved by the country director to reflect: a change of one of the intermediate outcome Indicators as a result of the reduced overall number of courts built under the project; and the inclusion of additional technical assistance activities in order to ensure achievement of the project development objective.

The objective of the Water Users Association Development Support Project for Azerbaijan is to improve the effectiveness and financial viability of on-farm irrigation water distribution and management in the project area. There are three components to the project, the first component being institutional strengthening and capacity building. The component will finance the following activities: capacity building of Amelioration and Irrigation Open Joint Stock Company (AIOJSC); training and capacity building of Water User Association (WUA); and Institutional capacity building studies, and pilots. The second component is the on-farm irrigation and drainage (I&D) rehabilitation. This component will finance rehabilitation of 85,000 ha of on-farm systems managed by about 34 eligible WUAs located in 15 core project raions with a total irrigated area of 518,000 ha. The concept is to strengthen WUAs into mature and sustainable entities, able to manage, operate and maintain their systems. WUAs selected according to agreed upon criteria and procedures, will be eligible for rehabilitation. Finally, the third component is the project management, and monitoring and evaluation (M&E).

The development objective of the Third Highway Project for is Azerbaijan is to contribute to a more efficient and safer Baku-Shamakhi road and higher quality road services as part of the upgrading to motorway standards, and to improve the management of the nascent motorway network. There are three components to the project. The first component of the project is motorway improvement - upgrading a 100km section of the existing two lane M4 Baku-Shamakhi road into four-lane motorway and related road safety activities. This component comprises civil works for the Baku-Shamakhi road and consultancy services for works supervision. It also finances road safety activities to be implemented throughout the project duration including design, construction, and opening of new four-lane road. Government will finance land acquisition and resettlement costs. The component also includes consultancies for technical audit of works and design of priority investments of the main road network. The second component of the project is institutional development. This component including: (a) preparation of a study to explore options for a policy on management and financing and efficient allocation of resources for Azerbaijan's motorways; and (b) institutional development of the Azerbaijan Road Service (ARS) in motorway operation and maintenance by: (i) establishing motorway guidelines; (ii) testing a small experimental motorway management unit at ARS; and (iii) carrying out an operations and maintenance pilot on sections of the existing motorways. The third component of the project is project management. The project will finance consultant services, equipment and Technical Assistance (TA) to support project management capacity of the Project Implementation Unit (PIU), including office equipment, software, training (especially financial management), seminars, and financial management TA, and project financial audits.

The objective of the Second Additional Financing Highway Project for Azerbaijan is 'to reduce road transport costs and improve access, transit, and road safety by upgrading and rehabilitating selected sections of the existing East-West (M4) and North-South (M3) corridors'. The project will finance the costs associated with scaling up the project's impact of developing regional economies and alleviating rural poverty. It will help reduce transport costs along the M6, one of Azerbaijan's transport corridors, by rehabilitating the road networks and removing transport bottlenecks to the socioeconomic development of the region. Major activities will include the rehabilitation of 116 km of the highway between Hajigabul and Bahramtapa and the rehabilitation of approximately 200km of local roads connecting villages with the M6. There will be no co-financing from other donors for this project.
